Legal things for SAAS

I am planning to launch a SaaS based product. It is a web based product does not require any installation. My target audience are small to medium companies. What are the mandatory legal things I need to take care? how much they cost?. I am from Hyderabad, India.

    Dear Mr Uday

    first of all get in touch with a lawyer who got experiance in IT laws, Get a Good Chartered Accountant ( who got good staff ) these 2 people help you in providing terms and conditions, help you not to fall down on legal problems

    I can help you out in connecting to a CA with whom i am processing all my tax issues and others, he is based in Hyderabad

    And coming to the cost, CA cost is less, and they serve good, they remind me the last dates, they will process all the things and get the taxes or other accounting works completed in time

    coming to IT lawyer, i dont know any body, might be some one from this forum might help u on this

    1. You need to get incorporated.

    2. You need a Terms of Services.

    3. You need a Privacy Policy.

    Talk with a chartered accountant first and ask him if he can help you with everything – or will you need to approach a lawyer too.

    You should anticipate a cost of at least Rs30,000 for all these things.

    You will also need to offer a Service Level Agreement(SLA) to your clients so that they know how much service and quality to expect. Make sure that you do not overpromise in the SLA. You can always underpromise on paper, promise in verbal, and over-deliver in practice.

    Also, you will need to limit your liability in case things go wrong and cause permanent loss of data, revenue, etc.

    Uday,
    -You need a good Website Terms of Use which describes at a minimum, account security, limited liability, uptime, who owns data, data-retention, usage limitations and the like.
    -Since there would be on-line payment and you would collect personally identifiable information, you will need a privacy policy.
    - Jurisdiction is a tricky one, if you have servers outside of India.

    YOU DON’T HAVE TO INCORPORATE.
    however you will need terms of use and privecy policy.
    its not sure that you need a Service Level Agreement. most web based services do not have such agreements. the terms of use are the main agreement with the user.
    look at India Contracts at http://www.contracts.org.in. its a great site with FREE samples for these legal docs.
